These terms and conditions ("Terms", "Agreement") are an agreement between Wixpa ("Wixpa", "us", "we" or "our") and you ("User", "you" or "your"). This Agreement sets forth the general terms and conditions of your use of the Wixpa Google Shopping Feed application ("App") and any of its products or services (collectively, "Service").
By accessing and using the Service, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "User", "you" or "your" shall refer to such entity.
If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not use the Service. You acknowledge that this Agreement is a contract between you and Wixpa, even though it is electronic and is not physically signed by you and Wixpa, and it governs your use of the Service.
Wixpa Google Shopping Feed is a Shopify application that enables users to create and manage product feeds for various shopping platforms including Google Shopping, Facebook, Pinterest, Microsoft, and more. The Service provides tools for optimizing product data, managing multiple feeds, and enhancing e-commerce visibility across platforms.
You must register with Wixpa Google Shopping Feed by completing the registration process within the Shopify App Store in order to use the Service. You will be required to provide certain information (such as store details) and you agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete.
Some aspects of the Service are provided for free, while other aspects require payment before you can access them. The fees and renewal terms applicable to your account are based on our fee schedules, which we may update from time to time. We will provide you with advance notice of any changes to fees.
When you purchase a subscription, you expressly authorize us to charge you for such subscription. We may ask you to supply additional information relevant to your transaction, including your credit card number, the expiration date of your credit card and your billing address.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any purchase; and that (ii) the information you supply to us is true, correct and complete.
Subscriptions are billed in advance on a monthly basis and are non-refundable. There will be no refunds or credits for partial months of service, or for periods in which you did not use the Service.
Wixpa may, at its sole discretion, offer a subscription with a free trial for a limited period of time. You may be required to enter your billing information to sign up for the free trial. If you do enter your billing information when signing up for a free trial, you will not be charged until the free trial has expired. On the last day of the free trial period, unless you canceled your subscription, you will be automatically charged the applicable subscription fee for the type of subscription you have selected.
The Service and its original content, features, and functionality are and will remain the exclusive property of Wixpa and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Wixpa.
You are solely responsible for all data, information, and other content that you upload, post, or otherwise transmit via the Service ("User Content"). You agree that you will not upload, post, or otherwise transmit User Content that: (a) infringes any third party's intellectual property rights; (b) violates any applicable law or regulation; (c) is harmful, abusive, unlawful, threatening, defamatory, or otherwise objectionable; or (d) includes any form of malware or other harmful code.
To the maximum extent permitted by applicable law, in no event shall Wixpa, its affiliates, directors, employees, or its licensors be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, that result from the use of, or inability to use, the Service.
To the maximum extent permitted by applicable law, Wixpa assumes no liability or responsibility for any: (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Service; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
You agree to defend, indemnify and hold harmless Wixpa and its licensors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or uninstall the App from your Shopify store. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
